1. Acceptance of Terms
These Terms govern your access to and use of the Cariigo website, mobile application, and any related services, features, content, and tools (collectively, the "Platform"). By accessing or using the Platform, creating an account, placing an order, or otherwise interacting with Cariigo, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not access or use the Platform.
2. Eligibility
You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account or place an order without the involvement of a parent or legal guardian. By using the Platform, you represent and warrant that you satisfy these eligibility requirements.
3. The Platform
Cariigo is an online retail and lifestyle commerce platform operated by HORIZONMATRIX INC. Unless otherwise stated on the Platform, products made available through the Platform are offered and sold by HORIZONMATRIX INC. or its affiliated sellers as the seller of record.
We may modify, suspend, discontinue, or restrict access to any portion of the Platform at any time, with or without notice, to the extent permitted by applicable law.
4. Account Registration and Security
You agree to provide accurate, current, and complete account information. You are responsible for maintaining the confidentiality of your login credentials and for all activities under your account. You must notify us promptly if you suspect unauthorized access or misuse of your account.
You are also responsible for keeping your contact details and verification methods current so that we can authenticate important account actions, including account recovery, security checks, and deletion requests where applicable.
We may suspend, restrict, or terminate accounts that violate these Terms or create security, fraud, abuse, or legal concerns.
5. Product Information and Availability
We strive to present product descriptions, images, sizing, pricing, availability, and related content as accurately as possible. However, product appearance may vary by device, packaging may differ from images, and content may contain typographical errors, inaccuracies, or omissions. We do not guarantee that all product information is complete, current, or error-free.
6. Orders and Acceptance
Submission of an order is an offer to purchase. An order is not accepted, and no binding contract for sale is formed, until we review the order, approve the transaction, and send an order confirmation or otherwise indicate acceptance.
We may cancel or limit orders for reasons including product unavailability, pricing or listing errors, suspected fraud or unauthorized activity, violations of these Terms, or quantity or inventory limitations.
If an order is canceled after payment has been authorized or captured, we will issue any applicable refund according to law, our refund procedures, and the applicable payment flow.
7. Pricing and Payment
All prices are displayed in USD unless otherwise indicated. Prices, discounts, promotions, shipping charges, taxes, and fees are subject to change without notice.
By submitting payment information, you represent and warrant that you are authorized to use the selected payment method and authorize us and our third-party payment processors to charge the applicable amounts, including the purchase price, shipping, taxes, and any other disclosed charges.
We may use third-party payment processors, and your payment may be subject to the terms, conditions, and privacy policies of those providers.
Rewards and Membership Terms. Eligibility for loyalty tiers, shopping credits, cashback, referral rewards, shipping-related benefits, discounts, and similar member benefits is additionally governed by our Membership Terms & Conditions, as updated from time to time. Unless expressly stated otherwise on the Platform, these benefits are promotional or loyalty benefits tied to account activity, purchases, or other qualifying actions, and are not separate paid digital subscriptions.
8. Shipping and Delivery
We will use commercially reasonable efforts to process and ship orders within the timeframes stated on the Platform or at checkout. However, shipping and delivery dates are estimates only unless expressly stated otherwise.
Risk of loss and title for products pass to you upon delivery to the shipping address you provide, unless otherwise required by applicable law.
You are responsible for providing complete and accurate shipping information. We are not responsible for delays, failed deliveries, or losses caused by incorrect shipping details, carrier disruptions, weather, customs, supply chain issues, or other circumstances beyond our reasonable control.
If we are unable to ship within the timeframe stated at checkout or otherwise required by applicable law, we may notify you of the delay and provide options, including consenting to a revised shipping date or canceling the affected portion of the order for a refund, as required by law.
9. Returns, Refunds, Replacements, and Shipping Issues
Our Return Policy, as posted on the Platform and updated from time to time, is incorporated into these Terms by reference.
Returns, refunds, same-item replacements, and shipping issue claims are governed by the Return Policy and are subject to review, approval, eligibility requirements, deadlines, product-specific rules, order-specific rules, and applicable law.
We do not currently offer exchanges for different sizes, colors, variants, or products. Where approved and applicable, we may instead offer a same-item replacement, refund, store credit where permitted, or another reasonable solution.
10. Promotions, Discounts, Credits, and Rewards
We may offer promotional codes, discounts, shopping credits, cashback rewards, referral benefits, birthday rewards, shipping-related benefits, or other promotional programs from time to time. Unless otherwise stated, these benefits have no cash value, are not redeemable for cash, are non-transferable, may not be resold, and may be modified, suspended, canceled, expired, or reversed in the event of order cancellation, refund, abuse, fraud, error, chargeback, or violation of our policies.
11. Acceptable Use and Prohibited Conduct
You may not:
- violate any applicable law or regulation;
- use the Platform for unlawful, fraudulent, deceptive, or unauthorized purposes;
- submit false, misleading, or incomplete information;
- interfere with or disrupt the Platform, servers, or networks;
- attempt to gain unauthorized access to systems, data, or accounts;
- scrape or harvest Platform content or listings without written permission;
- upload malicious code, malware, or harmful scripts; or
- impersonate another person or entity.
12. Intellectual Property
The Platform and all related content, branding, software, text, images, graphics, code, and design elements are owned by or licensed to HORIZONMATRIX INC. and are protected by United States and international intellectual property laws. Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Platform for personal, non-commercial use only.
13. User Content and Feedback
If you submit reviews, comments, suggestions, feedback, images, videos, or other content to us, you grant Cariigo a non-exclusive, worldwide, royalty-free, sublicensable right to use, reproduce, display, distribute, adapt, and otherwise use such user content in connection with operating, marketing, and improving our business, subject to applicable law and our Privacy Policy.
14. Third-Party Services and Links
The Platform may contain links to or integrations with third-party websites, services, content, or tools that are not owned or controlled by Cariigo. We do not control or assume responsibility for any third-party services, policies, or practices.
15. Privacy
Your use of the Platform is also subject to our Privacy Policy, which describes how we collect, use, disclose, and protect personal information.
16. Disclaimer of Warranties
To the fullest extent permitted by applicable law, the Platform, all products, and all content, features, and services made available through the Platform are provided on an "as is" and "as available" basis without warranties of any kind, whether express, implied, statutory, or otherwise.
17. Limitation of Liability
To the fullest extent permitted by applicable law, Cariigo and its affiliates, licensors, service providers, officers, directors, employees, agents, and representatives will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity arising out of or related to your use of, or inability to use, the Platform.
To the fullest extent permitted by applicable law, the total liability of Cariigo for any claim arising out of or relating to the Platform or these Terms shall not exceed the greater of the amount you paid to Cariigo for the relevant order giving rise to the claim or US$100.
18. Indemnification
To the fullest extent permitted by applicable law, you agree to defend, indemnify, and hold harmless Cariigo and its affiliates, officers, directors, employees, agents, licensors, and service providers from and against claims, liabilities, damages, judgments, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the Platform, your violation of these Terms, or your violation of any law or third-party right.
19. Governing Law
These Terms and any dispute arising out of or relating to these Terms or the Platform shall be governed by the laws of the State of Delaware, without regard to its conflict of laws principles, except to the extent superseded by applicable federal law or consumer protection law.
20. Changes to These Terms
We may update these Terms from time to time. When we do, we will post the revised version on this page and update the Effective Date above. Your continued use of the Platform after the updated Terms become effective constitutes your acceptance of the revised Terms.
21. Electronic Communications
By using the Platform, you consent to receive communications from us electronically, including agreements, notices, disclosures, and other records. You agree that all such communications satisfy any legal requirement that such communications be in writing, to the extent permitted by law.
